Terms of Service

These Terms of Service ("Terms") govern your use of the Magnitude platform at magnitude.global, operated by Turbulence Studio Ltd ("Magnitude", "we", "us"). They are platform-level terms and sit alongside but separate from the End User Licence Agreement (EULA), which governs the use of individual scans you licence. By creating an account, signing in, or using the platform, you agree to these Terms.

1. Definitions

• "Platform" — the website, viewer, APIs, dashboards, and all services made available under magnitude.global.
• "Account" — your registered user account on the Platform. Account types are: Production, Creator, Location Management, Production Team Owner.
• "User Content" — anything you upload, post, or transmit through the Platform, including 3D scans, photos, metadata, descriptions, comments, and enquiries.
• "Licence Agreement" — the bilateral agreement between a Licensor (Creator/Location Owner) and a Licensee (buyer) that is generated and exchanged through the Platform.

2. Magnitude as platform facilitator

Magnitude acts as a platform facilitator. Licence Agreements for scan content are between the Licensor and the Licensee. Magnitude is not a party to those agreements. Magnitude is responsible for the Platform itself, the agreement-generation infrastructure, payment processing (via Stripe), and the 10% platform commission applied to each transaction.

3. Account eligibility

You must be at least 18 years old and capable of entering into a binding contract to create an Account. Creator and Location Management accounts must be approved by Magnitude before activation; we may refuse, suspend or revoke approval at our reasonable discretion.

4. Account responsibility

You are responsible for: (a) maintaining the confidentiality of your password; (b) all activity that occurs under your Account; and (c) notifying us promptly of any unauthorised access. Do not share your Account credentials. If you discover a security issue, please email paul.burke@turbulence.studio.

5. Acceptable use

You must not use the Platform to:

• Upload content you do not have the rights to share, including scans of premises you did not lawfully scan or content that infringes third-party rights;
• Misrepresent your identity, organisation, or relationship to a location or scan;
• Circumvent the licence-purchase flow, scrape paid scans, or attempt to access content you have not licensed;
• Interfere with, probe, or compromise the security of the Platform — including denial-of-service attempts, vulnerability scanning without consent, or reverse-engineering of the viewer or APIs;
• Use the Platform to upload malware, unlawful content, content that is defamatory, harassing, discriminatory, sexually explicit, or that promotes violence or hate;
• Use any automated system to access the Platform other than via documented APIs and within published rate limits;
• Use scans or other content from the Platform to train machine-learning or AI models without specific written permission.

6. Content standards for uploads

Scans and other User Content you upload must:

• Be content you own or have lawful permission to publish;
• Not contain personal data of identifiable individuals without an appropriate lawful basis or consent (see our Privacy Policy);
• Not include classified, restricted, or critical-national-infrastructure information you are not entitled to publish;
• Be accurately described — titles, dates, locations, and metadata must not be intentionally misleading;
• Comply with all applicable laws of the territory where the scan was captured.

We may remove or restrict any User Content that we reasonably believe breaches these standards.

7. Licence transactions and revenue split

When a Licensee purchases a licence:

• Magnitude retains a 10% platform commission;
• The remaining 90% is split between the Creator and the Location Owner according to the revenue split configured on the scan at the time of sale;
• Payouts are recorded in your dashboard as pending and paid out on the schedule then in effect (currently manual monthly batches; this will move to automated payouts as Stripe Connect is integrated);
• All amounts are stated and paid in pounds sterling unless explicitly stated otherwise.

8. Refunds

Licences are generally non-refundable once the underlying Asset has been accessed or downloaded, except as required by applicable consumer-protection law. Permits are automatically refunded if the relevant film office declines the application. If you believe a payment was made in error, contact us within 14 days of the transaction.

9. Account suspension and termination

We may suspend or terminate your Account, with or without prior notice, where you breach these Terms, the EULA, or applicable law; where your Account presents a security risk to the Platform or other users; or where required by a competent authority. Where reasonable and lawful to do so, we will give you a chance to remedy the breach first.

You may close your Account at any time by emailing paul.burke@turbulence.studio. Closing an Account does not terminate Licence Agreements you have already entered into or your obligations under them.

10. User-to-user disputes

Magnitude is not the licensor or licensee for scan content; we facilitate the agreement. Disputes between a Licensor and a Licensee are primarily between those parties. Magnitude may, at our reasonable discretion and as a goodwill measure, mediate, withhold pending payouts, restrict access to disputed content, or correct administrative errors. We do not act as arbitrator and our involvement does not waive any party's rights under the underlying Licence Agreement.

11. Intellectual property in the Platform

The Platform (including the viewer, dashboards, the licence-agreement generator, APIs, design, and brand) is owned by Magnitude or its licensors and is protected by intellectual-property law. You receive no rights in the Platform itself other than the limited right to use it as intended. You retain ownership of your User Content; by uploading it you grant Magnitude a non-exclusive, worldwide licence to host, display, transmit, and deliver it as necessary to operate the Platform and to fulfil the licences you sell through it.

12. Third-party services

The Platform relies on third-party services including Stripe (payments), Resend (email), Cloudflare (hosting), and DocuSign (electronic signature). Use of those services is also subject to their own terms.

13. Disclaimers

The Platform is provided "as is", without warranties of any kind beyond those that cannot be excluded by law. Magnitude does not warrant that the Platform will be uninterrupted, error-free, or that any particular feature will be permanently available. Specific scans are made available by their Licensors; we do not warrant their accuracy, completeness, or fitness for any specific use.

14. Limitation of liability

To the maximum extent permitted by law, Magnitude (including Turbulence Studio Ltd, its directors, employees and agents) will not be liable for any indirect, incidental, special, consequential, or punitive damages; loss of profits, revenue, data, business or goodwill; or any loss arising from a third-party Licence Agreement to which Magnitude is not a party. Magnitude's total aggregate liability arising out of or in connection with these Terms is limited to the greater of (a) £100, or (b) the total platform commission Magnitude has received from you in the 12 months preceding the event giving rise to the claim. Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any liability that cannot lawfully be excluded.

15. Indemnity

You agree to indemnify Magnitude against any claims, losses, or costs (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) your User Content; (c) your use of the Platform in violation of applicable law; or (d) any Licence Agreement you enter into through the Platform, where the claim arises from your acts or omissions as a party to that agreement.

16. Changes to these Terms

We may amend these Terms from time to time. The version number and effective date above are authoritative. Material changes will be notified by email or via an in-app notice; continued use of the Platform after the effective date constitutes acceptance of the updated Terms. If you do not agree with an update, you must stop using the Platform; pre-existing Licence Agreements remain governed by their original terms.

17. Governing law and jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales. Any dispute arising under or in connection with these Terms is subject to the exclusive jurisdiction of the courts of England and Wales.
