End User Licence Agreement

1. Definitions

"Magnitude" refers to Magnitude Global, operated by Turbulence Studio Ltd, the owner and operator of the magnitude platform and all associated services.

"Asset" means any 3D scan, Gaussian splat, point cloud, mesh, or other digital content made available on the Magnitude platform.

"Licence" means the non-exclusive, non-transferable right to use an Asset as set out in this Agreement and the specific licence tier purchased.

"Licensee" means the individual or entity that purchases a Licence.

2. Grant of Licence

Subject to the terms of this Agreement and payment of the applicable fee, Magnitude grants the Licensee a non-exclusive, non-transferable licence to use the Asset solely for the purposes permitted by the licence tier purchased. The specific permitted uses are set out in the licence certificate issued upon purchase.

3. Licence Tiers

• Editorial — News, documentary, editorial and non-commercial journalism use
• Film & TV — Use in film, television, streaming and broadcast productions
• Advertising & Commercial — Commercial advertising, marketing and brand campaigns
• Video Games — Use in video games and interactive entertainment
• Online & Digital — Website, social media and online content use
• Education & Research — Academic, educational and non-commercial research use
• Private & Internal — Internal business use, pitching and private presentations
• By Negotiation — Custom use cases as agreed in writing between Magnitude and the Licensee

4. Restrictions

The Licensee shall not:

• Sub-licence, resell, redistribute, share, or make available the Asset to any third party
• Use the Asset for any purpose not expressly permitted by the purchased licence tier
• Claim ownership or copyright of the Asset or any derivative work
• Remove, alter, or obscure any copyright notice, watermark, or metadata embedded in the Asset
• Use the Asset in any manner that is unlawful, defamatory, or infringes the rights of any third party
• Use the Asset to train machine learning or artificial intelligence models without prior written consent
• Reverse-engineer, decompile, or attempt to extract the source data or capture methodology

5. Territory and Duration

The territory and duration of each licence are specified in the licence certificate. A Global licence permits use worldwide. A Regional licence permits use only in the specified region(s). A Perpetual licence has no expiry date. A 1 Year licence expires 12 months from the date of purchase.

6. Intellectual Property

All intellectual property rights in the Asset remain with Magnitude or its licensors. The Licensee acquires only the rights expressly granted under this Agreement. Nothing in this Agreement transfers any ownership of intellectual property.

7. Upgrades

A Licensee may upgrade from one licence tier to a higher tier for the same Asset. The upgrade fee is the difference between the original licence price and the new tier price. Upon upgrade, the original licence is cancelled and a new licence is issued.

8. Refunds and Cancellation

All licence purchases are final and non-refundable unless otherwise required by applicable law. Magnitude reserves the right to cancel a licence if the Licensee breaches any term of this Agreement.

9. Warranty and Liability

Assets are provided "as is" without warranty of any kind, express or implied. Magnitude shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use or inability to use any Asset.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of England and Wales. Any dispute arising under this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Amendments

Magnitude reserves the right to amend this Agreement. Any changes will be published on the Magnitude platform with an updated version number. Licences purchased under a previous version of this Agreement will continue to be governed by that version.
